Welcome to Agentify (“Agentify,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, software, applications, AI agents, voice systems, automation tools, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, do not use the Services.

1. About Agentify

Agentify provides AI-powered automation tools and enablement services, including but not limited to voice agents, messaging agents, workflow automation, intake systems, scheduling tools, analytics, and related support services.

Agentify is a technology provider and does not act as your agent, representative, fiduciary, or advisor.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Scope of Services & AI Disclosure

Agentify provides technology and automation systems , not legal, medical, financial, or other professional advice.

You acknowledge and agree that:

• AI-generated outputs are probabilistic and may be inaccurate, incomplete, or inappropriate
• You are solely responsible for reviewing, validating, and approving all outputs before use
• Agentify does not guarantee any business, financial, operational, or performance outcomes
• Any reliance on AI-generated outputs is at your own risk

4. Privacy & Data Use

Your use of the Services is governed by our Privacy Policy , which explains how we collect, use, store, and protect data. The Privacy Policy is incorporated into these Terms by reference.

5. Account Responsibilities

If you create an account or submit information:

• You agree to provide accurate and complete information
• You are responsible for maintaining the confidentiality of your credentials
• You are responsible for all activity conducted under your account

Agentify is not liable for unauthorized access resulting from your failure to secure your credentials.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe intellectual property, privacy, or publicity rights
• Transmit unlawful, deceptive, abusive, or harmful content
• Reverse engineer, disrupt, or exploit the Services
• Deploy AI agents for unlawful, unethical, or non-consensual activities

Agentify may suspend or terminate access for violations.

7. Voice, Messaging & Compliance Responsibility (IMPORTANT)

If you use voice, SMS, or messaging-based agents:

• You are solely responsible for complying with all applicable laws, including consent, disclosure, and recording requirements
• You represent that you have obtained all required permissions from end users
• You acknowledge that Agentify acts solely as a technology provider and not as the sender or caller

This includes, without limitation, compliance with call recording laws, TCPA, CAN-SPAM, and similar regulations.

8. Intellectual Property

All software, systems, workflows, prompts, designs, documentation, and content provided by Agentify are owned by Agentify or its licensors unless otherwise stated.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes only.

You may not copy, resell, sublicense, or redistribute the Services without written permission.

9. Fees & Payments

If applicable:

• Fees are disclosed prior to purchase or engagement
• All payments are non-refundable unless expressly stated otherwise in writing
• Failure to pay may result in suspension or termination

10. Third-Party Services

The Services may integrate with third-party platforms or providers.

Agentify is not responsible for:

• Third-party outages or failures
• Changes to third-party pricing, features, or terms
• Third-party data handling or security practices

Your use of third-party services is subject to their respective terms.

11. Confidentiality

Each party agrees to protect the other’s non-public, confidential business information and to use such information solely for purposes related to the Services.

12. Service Availability

The Services are provided on an “as available” basis.
Agentify does not guarantee uninterrupted operation, uptime, or availability and may modify, suspend, or discontinue any portion of the Services at any time.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• AGENTIFY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• AGENTIFY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AGENTIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

15. Indemnification

You agree to indemnify and hold harmless Agentify from any claims, damages, losses, or liabilities arising from:

• Your use or misuse of the Services
• Your AI agent configurations or deployments
• Your violation of these Terms or applicable laws

16. Termination

Agentify may suspend or terminate access to the Services at any time, with or without notice.

Upon termination, your license to use the Services ends immediately.
Sections relating to IP, confidentiality, disclaimers, liability, and indemnification survive termination.

17. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration on an individual basis , and not as a class action, except where prohibited by law.

18. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

19. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
